Document label: DRAFT — REQUIRES LEGAL REVIEW.
Draft version 0.1-draft. Dated September 27, 2026.
This Kaitier Affiliate Agreement (the "Agreement") governs participation in the Kaitier Affiliate program (the "Program") operated by Kaitier LLC ("Kaitier," "we," "our," or "us").
By affirmatively accepting this Agreement, you apply to participate as an affiliate ("Affiliate," "you," or "your").
Acceptance of Kaitier's customer Terms of Service, Privacy Policy, or other customer legal documents does not constitute acceptance of this Agreement. Customer terms and this Agreement are separate. A person may be both a Kaitier customer and an Affiliate only if they have accepted both sets of terms.
Enrollment does not activate until you accept the then-current version of this Agreement.
You may join as an individual or through an existing business. You do not need an LLC, a Kaitier business workspace, or an existing customer account to apply.
You must provide accurate contact information and be able to enter a binding agreement.
Kaitier may accept, decline, suspend, or terminate participation subject to this Agreement and applicable law.
You are an independent contractor. Participation does not make you an employee, agent, partner, joint venturer, franchisee, or legal representative of Kaitier.
You may not bind Kaitier, accept obligations on Kaitier's behalf, or represent that you have authority to do so.
You are responsible for your own tools, marketing methods, and business operations.
You are responsible for your own affiliate activities, including how you describe Kaitier, where you publish referral links, and whether those activities comply with applicable law.
You must follow this Agreement, the Program rules, and any approved promotional materials Kaitier provides.
You may not make false, misleading, unsupported, or unauthorized claims about Kaitier, its features, pricing, availability, or results.
You may use only approved Kaitier claims and materials. If you are unsure whether a claim is approved, do not use it.
Kaitier helps people organize financial and business information. That does not authorize you to give tax, legal, accounting, or professional advice on Kaitier's behalf.
You may not independently represent that Kaitier guarantees tax savings; that Kaitier guarantees tax accuracy; that Kaitier guarantees business results; that Kaitier replaces required licensed professionals; that Kaitier guarantees compliance; or that Kaitier guarantees financing, profit, or other results.
You may use only approved Kaitier claims when discussing financial, tax, or business features.
Where required by law or platform rules, you must clearly disclose that you may receive compensation if someone uses your referral link or otherwise becomes a Kaitier customer through your promotion.
Disclosures must be clear, conspicuous, and made in a way a reasonable person would notice.
You must not use misleading advertising, deceptive testimonials, or impersonation.
You must not send unsolicited bulk messages (spam) or use purchased, scraped, or non-consensual contact lists to promote Kaitier.
You must not register domains, social handles, or ads that impersonate Kaitier or are likely to confuse people into thinking you are Kaitier.
You must not misuse Kaitier trademarks, logos, or brand assets except as this Agreement and any brand guidelines permit.
Kaitier may restrict or prohibit unpaid or paid advertising methods, including search, social, or affiliate-network ads, and may update those restrictions. Unless Kaitier expressly authorizes a paid method in writing, do not bid on Kaitier brand terms or present ads that appear to be official Kaitier advertising.
Kaitier may publish additional marketing rules. Those rules form part of the Program and may be updated as described in the changes section below.
Kaitier's systems determine whether a visit, signup, or customer relationship is a qualifying referral under this Agreement and the Program configuration.
Attribution windows, cookie duration, and related mechanics are defined in the Program configuration. This Agreement does not invent a specific attribution window.
You may not manipulate referral identifiers, force another person's tracking code, or attempt to credit yourself for activity that Kaitier's systems do not attribute to you.
Commissions, if any, arise only from qualifying events defined in the Program configuration and recorded in Kaitier's commission ledger.
Commission amounts, rates, qualifying purchases, hold periods, and minimum payouts are configuration values. They are not set by marketing copy in this draft.
A commission may be pending, approved, payable, paid, or reversed. Kaitier may reverse or withhold commissions for refunds, chargebacks, fraud, duplicate or self referrals, abuse, or ineligibility.
Self-referrals, duplicate events, and fabricated accounts do not qualify.
You are responsible for your own applicable tax obligations arising from Program participation, including income reporting.
Kaitier may collect tax documentation and perform reporting or withholding when required by law. Kaitier does not promise that it will never withhold taxes.
Payouts may be withheld until required tax setup is complete.
You generally bear your own marketing and business expenses unless Kaitier expressly agrees otherwise in writing.
Kaitier grants you a limited, revocable, non-exclusive, non-transferable permission to use approved Kaitier branding solely to promote Kaitier as an Affiliate.
No ownership of Kaitier trademarks, software, or other intellectual property transfers to you. You must stop using brand assets if participation ends or Kaitier asks you to stop.
You must not disclose Kaitier's non-public Program, customer, or business information except as required by law or with Kaitier's written permission.
You should not independently collect sensitive Kaitier customer information unless expressly authorized.
Referral participation does not give you access to a referred person's receipts, transactions, Tax Center, Business Memory, employee records, or account settings.
You must not violate applicable law, this Agreement, or Kaitier's Acceptable Use Policy in connection with the Program.
You must not harass, defraud, or mislead prospects or customers.
Kaitier may investigate and treat as non-qualifying any activity that appears to be self-referral, duplicate attribution, duplicate commissions, repeated account creation, referral-code manipulation, or other abuse.
Commission records are auditable and reversible.
Kaitier may suspend or terminate Program participation for Agreement violations, fraud, abuse, regulatory concerns, prolonged inactivity, or other reasons permitted by law.
You may stop participating by notifying Kaitier through the Program contact methods Kaitier publishes.
After suspension or termination, Kaitier may withhold, reverse, or decline unpaid commissions that are ineligible, disputed, or associated with prohibited conduct.
Treatment of already-approved but unpaid amounts follows the Program configuration and applicable law. This draft does not invent a specific post-termination payout rule.
You will defend, indemnify, and hold harmless Kaitier and its officers, employees, and contractors from claims, damages, losses, and reasonable expenses arising from your breach of this Agreement; your unlawful marketing; your unauthorized representations; your infringement; your misuse of data; or your other misconduct.
This section does not make you responsible for Kaitier's own software failures or Kaitier's own misconduct.
To the fullest extent permitted by law, Kaitier's aggregate liability arising out of the Program is limited in a manner consistent with the limitation-of-liability structure in Kaitier's customer Terms of Service.
Kaitier is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost commissions, except where such limitation is prohibited by law.
The Program is provided as available. Kaitier does not warrant uninterrupted tracking or any particular commission outcome.
Kaitier may update Program rules, configuration values, and this Agreement.
If Kaitier publishes a new Agreement version, continued participation or a new affirmative acceptance may be required before you remain active. Customer-terms acceptance still does not substitute for Affiliate Agreement acceptance.
This Agreement is governed by and interpreted under the laws of the State of Arizona, without regard to its conflict-of-law principles, consistent with Kaitier's customer Terms of Service.
Before filing a lawsuit, the parties will first attempt informal resolution: written notice describing the dispute and requested resolution, and thirty (30) days for the receiving party to respond, with good-faith negotiation.
Kaitier does not require binding arbitration as a condition of this Agreement.
Any legal proceeding arising out of this Agreement shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. Both parties consent to those courts and waive objections based on venue or forum non conveniens.
Nothing in this section prevents either party from seeking emergency injunctive relief to prevent immediate and irreparable harm.
This Agreement, together with the then-current Program configuration and any written Program rules Kaitier publishes, is the entire agreement about the Program and supersedes prior discussions about the Program.
It does not replace Kaitier's customer Terms of Service or Privacy Policy for use of the Kaitier product.
If a provision is held unenforceable, the remaining provisions remain in effect.
A failure to enforce a provision is not a waiver. You may not assign this Agreement without Kaitier's written consent. Kaitier may assign it in connection with a reorganization or sale of assets.
Notices may be sent to the contact email on your affiliate profile and to legal@kaitier.com or such other address Kaitier publishes.
